Vine Leaves is offering a subscription service (the "Service") that allows a user ("you," "your," or "customer") to skip nudity scenes while watching an authorized streaming service (currently Netflix streaming video on demand, among others, coming soon) videos. Here's how it works. First, you sign up for service with an authorized streaming service, then you sign up for Service with us. You will be able to install and configure our Chrome extension. Especially, you will choose which content should be skipped. While streaming Netflix or any authorized streaming service on a Chrome browser with our chrome extension, corresponding scenes detected by our algorithms and/ or reviewers will be skipped. You will be able to define additional scenes to be skipped. In addition, a link to IMDb Parental Guide will be added on each title description, as well as an icon indicating the number of scenes detected for the content you choose to skip. These terms of service form a legal agreement (the "Agreement") between you and Vine Leaves, the owner and operator of this Service. Your use of the Service indicates your acceptance of these Vine Leaves Terms of Service ("Terms of Service"). This Agreement governs your use of the Service and your purchase of any products sold or made available via the Service. By accessing and using the Service, you accept and agree to comply with these Terms of Service. If you do not accept the Terms of Service set forth herein, you are not permitted to, and you must not, access or use the Service, or purchase any products or services sold via the Service. As used herein, "Vine Leaves Service," "our Service," and "the service" mean the service provided by Vine Leaves for filtering content provided on Netflix or any authorized streaming service, including all features and functionalities of our Service, website, and user interfaces, as well as any content and software associated with the Service.

You agree to the Arbitration Agreement and class action waiver described in Governing Law Section to resolve any disputes with Vine Leaves).

Acceptance of Terms of Service

These Terms of Service, which include the Privacy Statement, govern your use of the service. By using, visiting, or browsing the service, you accept and agree to these Terms of Service. If you do not agree to these Terms of Service, you should not use the service. Changes to Terms of Service. Vine Leaves might, from time to time, change these Terms of Service, including the Privacy Statement. Any revisions shall become effective immediately; provided, however, that for existing customers, such revisions shall, unless otherwise stated, become effective 30 days after posting. You are encouraged to review this agreement whenever you use the Service. By continuing to access and use the Service after any modifications have been posted, you are indicating your acceptance of such modification, even if you have not reviewed it.

Privacy. You agree to provide accurate, current, and complete information as required for the purchase of our services. Vine Leaves uses a third-party service to process membership applications and bill fees to your credit or debit card or other authorized payment methods. Personal identifying information is subject to our Privacy Policy located at https://www.vine-leaves.com/privacy, the terms of which are incorporated herein. Please review our Privacy Policy to understand our practices. You hereby agree that Vine Leaves may use your personal information in accordance with the terms of the Privacy Policy.

Communication Preferences. By using the Service, you consent to receiving electronic communications from Vine Leaves related to your account. Such communications might involve sending e-mail messages to the e-mail address you provided when registering or posting communications on the Service and may include notices concerning your account (e.g., payment authorizations, changes in password or Payment Method, confirmation e-mail messages, and other transactional information) and are part of your relationship with Vine Leaves. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirement, including that such communications be in writing. You should maintain copies of electronic communications by printing a paper copy or saving an electronic copy. You also consent to receiving certain other communications from us, such as newsletters concerning new Vine Leaves features and content, special offers, promotional announcements, and customer surveys, via e-mail or other methods. If you no longer want to receive certain non-transactional communications, simply unsubscribe by clicking on the "Unsubscribe" option at the bottom of the communication. Please review our Privacy Statement (https://www.vine-leaves.com/privacy) for further detail on our marketing communications.

Membership, Billing and Cancellation.

Vine Leaves Membership. Vine Leaves's membership service ("Membership") currently costs $1 per month (the "Membership Fee") and entitles you to use our chrome extension. Our Chrome extension is using an API, the Membership entitles you to perform 100 API calls per day through our extension on this API. Our extension needs to perform a call for each visited title page on Netflix and for each started video. Therefore Membership entitles you to filter up to 50 SVOD videos per day without incurring any additional charge (apart from any tips you might wish to add, your Internet access or service fee, and any tax or expense Vine Leaves pays on your behalf), subject only to any cost, tax or fee your authorized SVOD service might charge. Your Membership will continue from month-to-month and will renew automatically unless and until you cancel your Membership or we terminate it. You must have Internet access and must provide us with a current, valid method of payment we accept, as identified on our website ("Payment Method"), which may be updated or changed whenever you want by clicking on the "Subscriptions" link on the Vine Leaves website. We will bill the Membership Fee to your Payment Method. You must cancel your Membership before it renews each month to avoid having the next month's Membership fees billed to your Payment Method. Vine Leaves's Membership Fee and the price of any à la carte service we choose to offer may be adjusted from time to time to reflect current market conditions, inflation, or for other reasons in our sole and absolute discretion. Vine Leaves will provide a minimum of 30 days' notice of any increase in its Membership Fee.

Recurring Billing. By starting your Membership and providing or designating a Payment Method, you authorize us and/or our third–party payment processing service to charge you a Membership Fee at the then current rate.

Billing Cycle. The Membership Fee for our Service will be billed when your Membership commences and each month thereafter unless and until you cancel your Membership. We will automatically bill your designated Payment Method each month on the calendar day corresponding to the commencement of your paying Membership. Membership Fees are fully earned upon payment. We reserve the right to change the timing of our billing, in particular, as indicated below, if your Payment Method has not successfully settled. In the event your Membership began on a day not contained in a given billing month, we may bill your Payment Method on another day in the applicable month as we deem appropriate. For example, if you started your Membership on January 31st, your next payment date is likely to be February 28th, and your Payment Method would be billed on that date. Your next billing date after that would, however, be March 31st. Your renewal date may change due to changes in your Membership. As used in these Terms of Service, "billing" means a charge, debit or other payment clearance, as applicable, against your Payment Method. Unless otherwise stated, "month" or "monthly" refers to your billing cycle.

No Refunds. PAYMENTS ARE NONREFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. Following any cancellation, you will NOT continue to have access to the Service through the end of your current billing period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members ("credits"). The amount and form of any credits, and the decision to provide them, are at our sole and absolute discretion. The provision of a credit in one instance will not entitle you to a credit in a similar instance, nor will it obligate us to provide any other credits in the future, under any circumstance.

Payment Methods. You may edit your Payment Method information by visiting our website and clicking on the "Credit Cards" link, available at the top of the pages of the Vine Leaves website. If a payment is not successfully settled due to credit or debit card expiration, insufficient funds, or otherwise, and you do not edit your Payment Method information or cancel your account (see, "Cancellation" below), you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.

Cancellation. Although you may cancel your Membership at any time, you will not continue to have access to the Service through the end of your monthly billing period. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-MONTH MEMBERSHIP PERIODS OR UNWATCHED CONTENT. To cancel, go to the "Subscriptions" page on our website and follow the instructions for cancellation. If you cancel your Membership, your account will automatically close within 24 hours. To check if your account is closed, look at the "Manage your current subscriptions" section of the "Subscriptions" pages. If this section is missing, you do not have any subscription.

Vine Leaves's Service

By using this site, you represent and confirm that (i) you are at least 18 years old or (ii), if you are less than 18 but at least 13 years old, you are using this site and the Service with the consent of your parent[s] or legal guardian and have received permission from your parent[s] or legal guardian to do so. If you are a parent or legal guardian using this site and in the Service for a child, you hereby agree to bind your child to this Agreement and fully indemnify and hold harmless Vine Leaves if your child breaches or disaffirms any of its terms or conditions. Vine Leaves's Service and any content viewed through our Service are for your personal and non-commercial use only. During your Membership, we grant you a limited, non-exclusive, non-transferable, license to access our Service. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for any public performance and not to attempt to make any recording or copy of filtered content.We continually test various aspects of our Service, including our website, user interfaces, service levels, plans, promotional features, availability of content, delivery and pricing. We reserve the right to, and by using our Service you agree that we may, include you in or exclude you from such tests without notice. We reserve the right in our sole and absolute discretion to make changes from time to time and without notice in how we offer and operate our Service. You agree to use Vine Leaves's Service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules, regulations, or other restrictions on use of the service or content therein. You agree not to archive, download, reproduce, distribute, modify, display, publicly perform, publish, license, create derivative works from, offer for sale, sell, or use content and information contained on or obtained from or through Vine Leaves's service without the express written permission of Vine Leaves and any applicable rights holders. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Vine Leaves service, website, and/or apps and chrome extensions; use any robot, spider, scraper or other automated means to access the Vine Leaves service, website, and/or apps; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Vine Leaves service, website, and/or apps; insert any code or product or manipulate the content of the Vine Leaves service, website, or apps in any way; or, use any data mining, data gathering or extraction method on the Vine Leaves service, website, and/or apps. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with Vine Leaves's service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our Service, without compensation or notice, if you are, or if we suspect that you are, (i) in violation of any of these Terms of Service or (ii) engaged in illegal or improper use of the Service.

Passwords & Account Access

The customer who created the Vine Leaves account and whose Payment Method is charged is referred to here as the Account Owner. The Account Owner has access and control over his or her Vine Leaves account. The Account Owner's control is exercised through use of the Account Owner's password and therefore to maintain exclusive control, the Account Owner should not reveal the password to anyone. In addition, if the Account Owner wishes to prohibit others from contacting Vine Leaves's Customer Service and potentially altering the Account Owner's control, the Account Owner should not reveal the Payment Method details (e.g., last four digits of the credit or debit card used for the account) associated with the account. You are responsible for updating and maintaining the truth and accuracy of the information you provide to us related to your account. To provide ease of access to your account and to help administer Vine Leaves's service, Vine Leaves implements technology that enables us to recognize you as the Account Owner and provide you with direct access to your account without requiring you to retype any password or other user identification when using Vine Leaves's service, which includes accessing our Service via Vine Leaves-ready devices or via our website. You should be mindful of any communication requesting that you submit credit card or other account information. Providing your information in response to these types of communications can result in identity theft. Always access your sensitive account information by going directly to the Vine Leaves website and not through a hyperlink in an e-mail message or other electronic communication, even if it looks official. Vine Leaves reserves the right to place your account on hold at any time with or without notifying you to protect itself and its partners from what it believes to be fraudulent activity. Vine Leaves is not obligated to credit or discount a membership for holds placed on the account by either a representative of Vine Leaves or its payment processing service, or by an automated processes of Vine Leaves or its payment processing service.

Disclaimers of Warranties and Limitations on Liability

THE VINE LEAVES SERVICE AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH VINE LEAVES'S SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. VINE LEAVES DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE VINE LEAVES SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. VINE LEAVES SPECIFICALLY DISCLAIMS LIABILITY FOR THE USE OF APPLICATIONS, CHROME EXTENSIONS, VINE LEAVES-READY DEVICES, AND VINE LEAVES SOFTWARE (INCLUDING THEIR CONTINUING COMPATIBILITY WITH OUR SERVICE). TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT SHALL VINE LEAVES, ITS SUBSIDIARIES, OR ANY OF THEIR SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MIGHT NOT APPLY TO YOU. NOTHING IN THESE TERMS OF SERVICE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU. If any provision or provisions of these Terms of service are held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

Governing Law. Vine Leaves's Terms of Service shall be governed by and construed in accordance with the laws of French Republic. These terms do not limit any consumer protection rights that you may be entitled to under the mandatory laws of your state of residence.

Applications. You may encounter third-party applications (including, without limitation, websites, widgets, software, or other software utilities) ("Application(s)") that interact with the Vine Leaves's service. Those Applications might import data related to your Vine Leaves account and activity and otherwise gather data from you. Those Applications are provided solely as a convenience to you, and Vine Leaves is not responsible for them. SUCH APPLICATIONS ARE OWNED OR OPERATED BY THIRD PARTIES NOT RELATED TO OR SPONSORED BY VINE LEAVES. YOUR USE OF ANY SUCH APPLICATION IS AT YOUR OWN OPTION AND RISK.

Use of Information Submitted. Vine Leaves is free to use any comments, information, ideas, concepts, reviews, techniques or other materials contained in any communication you send to us ("Feedback"), including responses to questionnaires or through postings to the Vine Leaves service, including the Vine Leaves website, chrome extension and bulletin board and user interfaces, worldwide and in perpetuity without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving Vine Leaves's service. In addition, you agree not to enforce any "moral rights" in and to the Feedback, to the extent permitted by applicable law.

To find more information about our service and its features, or if you need assistance with your service or your account, please visit Vine Leaves Customer Support (vineleaves4movies@gmail.com). In the event of conflict between these Vine Leaves Terms of Service and information provided by Customer Support or other portions of our website, these Terms of Service will control.

Arbitration Agreement. Most customer concerns can be resolved quickly and to a customer's satisfaction by sending an e-mail message to Vine Leaves's Customer Service Department at vineleaves4movies@gmail.com. In the unlikely event Vine Leaves's Customer Service Department is unable to resolve your complaint to your satisfaction (or if Vine Leaves has been unable to resolve your dispute after attempting to do so informally), you and Vine Leaves each agree to resolve any dispute ARISING UNDER THIS AGREEMENT under French law. The language of the proceedings shall be French. Applicable rules of substantive law shall be the law of France.

Survival. If any provision or provisions of these Vine Leaves Terms of Service are held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
